Welcome to CateringAIx, an online marketplace platform operated by NAANDASH LLC (“Company,” “we,” “us,” or “our”), a California Limited Liability Company located at 5716 Sterling Street, Dublin, CA 94568.

These Terms of Service (“Terms”) govern your access to and use of the CateringAIx website, applications, AI-driven tools, and related services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

1. Scope of the Platform

  1. Marketplace Venue: CateringAIx operates an online software-as-a-service (SaaS) and marketplace platform that connects public users and corporate clients seeking catering services (“Customers”) with independent third-party catering service providers, restaurants, and food suppliers (“Vendors”).
  2. Independent Status: NAANDASH LLC is not a catering company, restaurant, food handler, or food preparation facility. We do not prepare, package, store, or deliver food items. Vendors are independent contractors and are not employees, agents, joint venturers, or partners of NAANDASH LLC.
  3. No Direct Endorsement: The inclusion of any Vendor on the Platform does not constitute an endorsement, guarantee, or warranty by NAANDASH LLC regarding the safety, quality, legal compliance, or suitability of the Vendor’s food or services.

2. User Accounts & Eligibility

  1. Eligibility: You must be at least 18 years old and capable of forming a binding legal contract under applicable law to create an account or use the Platform.
  2. Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] of any unauthorized access or security breach.
  3. Accuracy of Information: You agree to provide accurate, current, and complete information during registration and to keep your account details updated.

3. Terms for Public Users & Customers

  1. Ordering & Contracts: When a Customer places an order or books a Vendor through the Platform, a direct contractual relationship is formed solely between the Customer and the Vendor. NAANDASH LLC is not a party to any contract for catering services.
  2. Pricing & Fees: Prices displayed on the Platform are set by Vendors or calculated using our proprietary software/AI tools based on Vendor parameters. Additional platform fees, processing fees, service charges, or taxes may apply and will be disclosed prior to checkout.
  3. Cancellations & Refunds: Cancellation policies for catering orders are set by individual Vendors or detailed in specific booking agreements. NAANDASH LLC is not responsible for issuing refunds unless explicitly agreed upon in writing or required by applicable law.

4. Terms for Vendors & Catering Partners

  1. Licensing & Compliance: Vendors represent and warrant that they possess all required local, state (California), and federal permits, health department certifications, business licenses, and tax registrations necessary to operate a catering or food preparation business.
  2. Food Safety & Quality: Vendors are solely responsible for ensuring that all food and beverages prepared, packaged, delivered, and served comply with all applicable health, safety, and sanitation laws (including the California Retail Food Code).
  3. Insurance Requirements: Vendors agree to maintain adequate commercial general liability insurance, product liability insurance, and workers’ compensation insurance as required by California law. Proof of insurance must be provided to NAANDASH LLC upon request.
  4. Platform Commission & Payouts: Vendors agree to pay NAANDASH LLC the agreed-upon platform commission, subscription fees, or transaction processing fees. Payouts will be processed in accordance with our Vendor Payment Schedule.

5. Payments, Taxes, and Processing

  1. Third-Party Payment Processors: Payments made through the Platform are processed using secure third-party payment gateways (e.g., Stripe). By submitting payment details, you authorize us and our payment processors to charge the designated payment method.
  2. Taxes: Customers and Vendors are individually responsible for determining and remitting any state or local sales tax, use tax, or other governmental fees applicable to catering purchases or service offerings.

6. Intellectual Property & AI Tools

  1. Ownership: All content, software, branding, trademarks, algorithms, database rights, and AI models available on CateringAIx are the exclusive property of NAANDASH LLC or its licensors.
  2. License to Access: Subject to compliance with these Terms, NAANDASH LLC grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal or internal business purposes.
  3. Vendor Content License: By submitting logos, menus, food images, or descriptions (“Vendor Content”), Vendors grant NAANDASH LLC a worldwide, royalty-free, non-exclusive license to use, display, and promote such content across the Platform and marketing channels.

7. Acceptable Use Policy

You agree not to:

  • Use the Platform for any illegal purpose or in violation of state or federal laws.
  • Reverse engineer, decompile, or extract source code or AI models from CateringAIx.
  • Post false, misleading, defamatory, or fraudulent reviews or vendor details.
  • Interfere with the security or proper functioning of the Platform.

8. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES, FOOD OFFERINGS, AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAANDASH LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ALLERGEN-FREE GUARANTEES.

NAANDASH LLC DOES NOT GUARANTEE THE QUALITY, SAFETY, INGREDIENT ACCURACY, OR ALLERGEN INFORMATION PROVIDED BY VENDORS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, IN NO EVENT SHALL NAANDASH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, FOODBORNE ILLNESS, ALLERGIC REACTIONS, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR SERVICES PROVIDED BY ANY VENDOR.

IN NO EVENT SHALL NAANDASH LLC’S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) $100 USD OR (B) THE TOTAL PLATFORM FEES PAID BY YOU TO NAANDASH LLC IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless NAANDASH LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  1. Your breach of these Terms;
  2. Your use of the Platform;
  3. (For Vendors) Any food safety claim, personal injury, property damage, or violation of applicable health and safety codes associated with your catering services.

11. Dispute Resolution & Governing Law

  1. Governing Law: These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.
  2. Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Alameda County, California, and you consent to personal jurisdiction and venue therein.
  3. Informal Resolution: Before filing a formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.

12. Modifications & Termination

We reserve the right to modify these Terms or suspend/terminate your access to the Platform at any time, with or without cause or notice. Continued use of the Platform after any modifications constitutes acceptance of the revised Terms.
